Agreements - Terms and Conditions

1.1. Fair Use: Attempts to scrape, automate, or bypass access restrictions or security measures are strictly prohibited.

1.2. Lawful Use: You agree to use the website only for lawful purposes and in a way that does not infringe the rights of, or restrict the use of the website by, anyone else.

2.1. Content Use: The articles, guides and other materials published on the website are for your personal or internal business reference and may not be redistributed or republished without prior written permission.

2.2. Prohibited Actions: You are not allowed to:

• Scrape, bulk download, or automate data collection from icarusnow.com.
• Engage in activities that disrupt the website or compromise its security.

3.1. The website describes our services. Descriptions, prices and guarantees on the website are a summary. The specific scope, deliverables, timeline and fees for your project are set out in the proposal or agreement you sign with us (the “Engagement Agreement”).

3.2. The Engagement Agreement governs. If anything in these Terms conflicts with your Engagement Agreement, the Engagement Agreement controls for that engagement.

3.3. Where the work happens. We deliver most of our work through Basecamp, a third-party project management platform. Deliverables, session notes and project communication are shared in a Basecamp project set up for your engagement. You are responsible for anyone you invite into that project.

3.4. Your part. Our services depend on the information you give us and the decisions your team makes. You are responsible for the accuracy of the information you share, for deciding whether and how to act on our recommendations, and for complying with the laws and internal policies that apply to your business.

4.1. Payment processing. We accept payments through Helcim, a third-party payment processor. Your payment information is collected and handled by Helcim under its own terms and privacy policy. We do not store full payment card numbers.

4.2. Prices. Prices shown on the website are in US dollars and may change at any time. Price changes do not affect an engagement you have already signed.

4.3. Refunds. Fees are non-refundable except as required by law or as stated in the specific guarantee published for the service you purchased. Each of our offers includes its own guarantee (for example, the AI Opportunity Assessment is free if we cannot find at least one real AI project with an objective success metric). The guarantee terms in effect at the time of purchase, as restated in your Engagement Agreement, are the ones that apply.

5.1. Platforms we use. We rely on third-party platforms to deliver our services, including Basecamp (project delivery), Brevo (email and newsletter) and Helcim (payments). Your use of those platforms is also subject to their terms and privacy policies.

5.2. Links. The website may contain links to third-party websites or services that we do not own or control. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party websites or services, and we are not liable for any damage or loss caused by your use of or reliance on them. We encourage you to read the terms and privacy policies of any third-party website or service you visit.

6.1. No guaranteed results. We help you choose, plan and build AI projects. AI systems, including large language models, can produce output that is inaccurate, incomplete or inappropriate for a given situation. Any AI tool, workflow or model we help you build is provided as-is for the purposes described in your Engagement Agreement. We do not guarantee that any AI system will be error-free or that it will produce any particular business outcome, except as expressly stated in a written guarantee for a specific service.

6.2. Human review. You are responsible for reviewing AI output before relying on it, and for deciding where human oversight is required in your business. Our recommendations are based on the information available to us at the time and do not replace legal, financial, medical, security or other professional advice.

6.3. Engagement terms apply. Responsibility for AI systems built or deployed during an engagement, including ongoing operation after the engagement ends, is set out in your Engagement Agreement.

The website and its contents, including text, graphics, logos, images, design and code, are owned by Icarus Now or our licensors and are protected by copyright, trademark and other intellectual property laws. The Icarus Now name and logo are our trademarks. You may not use them without our prior written permission. Other names and logos that appear on the website are the trademarks of their respective owners. You may not copy, modify, distribute or create derivative works from website content except as expressly permitted by these Terms. Ownership of deliverables created during an engagement is addressed in your Engagement Agreement.

We strive to provide uninterrupted access to the website, but maintenance, updates, or technical issues may occasionally cause downtime. While we aim to minimize disruptions, we cannot guarantee continuous availability.

Your data is handled in accordance with our Privacy Policy and applicable data protection laws.

We use industry-standard security measures to protect your information, but no system is completely secure. By using the website, you acknowledge and accept this risk.

10.1. The website and its content are offered “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10.2. Icarus Now LLC is not liable for any damages resulting from your use of the website, including direct, indirect, incidental, or consequential damages.

10.3. To the fullest extent permitted by law, Icarus Now LLC, its owner, contractors and service providers will not be liable for any loss of revenue, profits, business, goodwill or data, or for any indirect, special, incidental, consequential or punitive damages, arising out of or in connection with your use of or reliance on the website, its content, any linked website, or any information you provide to us through the website, even if we were advised of the possibility of such damages. Liability for services provided under an Engagement Agreement is governed by that agreement.

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Icarus Now LLC and its owner, contractors and service providers from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your use of the website other than as expressly authorized in these Terms.

These Terms and your use of the website are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict of law principles. Any action or proceeding arising out of or relating to these Terms or the website will be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of and venue in those courts.

13.1. Waiver. Our failure to exercise or enforce any right or provision of these Terms does not operate as a waiver of that right or provision.

13.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

13.3. Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Icarus Now LLC regarding your use of the website. They do not replace or modify any Engagement Agreement, which remains the complete agreement for the services it covers.

We may update these Terms periodically to reflect changes in our services or policies. If significant changes are made, we will notify you. Continued use of the website after an update constitutes acceptance of the revised Terms.
